CONFIDENTIALITY AGREEMENT

This document is a Confidentiality Agreement between the following Parties: -

in the first part, hereinafter called the Company, and PR Designs in the second part, hereinafter called PR Designs.

On the subject of the Company supplying or receiving information, concepts, specifications, drawings, etc. during the course of PR Designs’ involvement, the Company hereby confirms as follows: -

1.That all information whenever disclosed to the Company by PR Designs shall remain the property of PR Designs and on the termination of PR Designs’ interest, the Company will on request return all information to PR Designs who shall at the same time if requested hand over to the Company written confirmation that all documents, specifications, know-how, information and drawings relating to any concept under discussion as well as information in PR Designs’ possession have been returned to the Company or have been destroyed.

2.The Company will not use the information for any purpose other than in connection with PR Designs’ involvement with the Company. Both the Company and PR Designs shall keep all information secret and confidential. The Company shall not without consent of PR Designs communicate or allow to be communicated any confidential information to anyone, except as otherwise authorised by PR Designs. Likewise, the Company will not communicate nor allow to be communicated " to any other party, any information concerning PR Designs’  products,  concepts or plans, without the express written consent of  PR Designs.

3.The Company confirms its acceptance of retention by PR Designs of all PR Designs‘ existing and future rights and patents.

4.The Company's agreement to the confidentiality aspect of this agreement is subject to: -

    (i) any information becoming common knowledge

    (ii) the information contained in individual patent applications being published

When any of the above two possibilities occur then both parties may regard this as to be confidential information only to the extent that i) or ii) has occurred
